I, the undersigned have been made aware of my roles and responsibilities as Personnel at Vanderbilt University ("VU"). I have a business need to access institution-wide data reports and documents from our pre-award systems. These data include information available through self-service reports in Oracle Analytics Cloud, Tableau, and documents archived in SharePoint from the legacy pre-award systems, Coeus and PEER. Regardless of my role, I understand and agree that the information I will have access to is confidential and should only be used for VU business-related activities.

I understand that as Personnel, I am engaged with or may become exposed to sensitive information belonging to VU and that maintaining the confidentiality of such Confidential Information to which I am exposed is critical to VU. I understand that VU may have signed agreements with third parties requiring VU to maintain certain information as Confidential and that I am bound by those agreements or that the Confidential Information may be subject to legal obligations or regulations governing its use, storage, display or distribution. In consideration of my role as Personnel, I agree, for the benefit of Vanderbilt and the other providers of the Confidential Information, not to disclose any Confidential Information to any persons that are not involved in research administration. I will take steps as may be reasonably necessary to prevent unauthorized disclosure to others of such Confidential Information. I further agree to return or destroy any Confidential Information in my possession upon my departure from VU.

For the purposes of this Agreement, Confidential Information means information that derives value from not being generally known and in which there is a legitimate interest in maintaining secrecy for a reasonable period of time in order to protect its value, and which may include data, documents, systems, salary information and other VU project information. I also acknowledge that I have no ownership rights in such Confidential Information and that the data is the property of Vanderbilt University.
